Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Grant Flow ("Grant Flow," "we," "us," or "our") governing your access to and use of the Grant Flow platform, including all features, tools, and content made available through irondigitalmi.com.

By creating an account or using the platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using Grant Flow on behalf of a nonprofit organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the platform.

1. Description of Service

Grant Flow is a web-based software platform that helps nonprofit organizations find grant funding opportunities and generate grant proposal drafts. The platform provides:

  • Live grant search across federal (Grants.gov), foundation, and corporate sources
  • AI-powered grant matching based on organization profile data
  • AI-assisted grant proposal drafting across up to nine standard sections
  • Grant pipeline tracking and application management
  • Letter of Inquiry drafting and export tools
  • Multi-client organization profile management (Agency plan)

The features available to you depend on the subscription plan you have selected. Grant Flow reserves the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

2. Account Registration

To access most features, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate and complete information during registration and to keep your account information current. Grant Flow reserves the right to suspend or terminate accounts that contain inaccurate, fraudulent, or incomplete information.

You must be at least 18 years old to create an account. Grant Flow is intended for use by nonprofit organizations and their authorized staff.

3. Subscription Plans and Payment

Plans

Grant Flow offers four subscription tiers: Free, Essentials ($49/month), Professional ($99/month), and Agency ($299/month). The features included in each tier are described on our pricing page and may be updated from time to time. We will provide advance notice of changes that materially reduce the features of your current plan.

Billing

Paid subscriptions are billed monthly in advance. By providing payment information, you authorize Grant Flow to charge your payment method on a recurring monthly basis until you cancel. All fees are in U.S. dollars and are non-refundable except as described below.

Free Trial

If a free trial is offered at the time of sign-up, no charge will be made until the trial period ends. You may cancel before the trial ends to avoid any charge.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date. We do not provide prorated refunds for partial billing periods.

Refunds

If you experience a material service failure — meaning the platform is completely unavailable for more than 72 consecutive hours during a paid billing period — you may request a prorated credit or refund by contacting support within 30 days of the incident. We evaluate refund requests on a case-by-case basis.

4. AI-Generated Content — Important Disclaimer

Grant Flow uses artificial intelligence to generate grant proposal drafts, Letters of Inquiry, match rationales, and other written content. This content is a starting point — not a finished product.

You are solely responsible for reviewing, editing, verifying, and approving all AI-generated content before submitting it to any grant funder, government agency, or other party. You must ensure that:

  • All factual claims (statistics, program outcomes, budget figures, eligibility statements) are accurate and up to date
  • The content meets the specific requirements of the funder's RFP, NOFO, or guidelines
  • No content misrepresents your organization's qualifications, capacity, or activities
  • The content complies with applicable laws, funder policies, and ethical standards for grant seeking

Grant Flow does not guarantee that any grant application will be successful, funded, or even reviewed. The use of Grant Flow does not create any representation, warranty, or guarantee of grant award outcomes. Grant Flow is not responsible for any grant application rejection, disqualification, or reputational harm arising from submitted content.

5. Acceptable Use

You agree to use Grant Flow only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the platform to submit grant applications containing knowingly false, misleading, or fraudulent information
  • Attempt to gain unauthorized access to Grant Flow systems, other user accounts, or backend infrastructure
  • Use automated scripts, bots, or scrapers to extract data from the platform
  • Resell, sublicense, or otherwise commercialize access to Grant Flow without written authorization
  • Upload or transmit any malicious code, viruses, or harmful content
  • Use the platform in a way that violates any applicable federal, state, or local laws or regulations
  • Impersonate any person or organization, or misrepresent your affiliation with any entity

Grant Flow reserves the right to suspend or terminate accounts that violate these acceptable use standards, with or without prior notice depending on the severity of the violation.

6. Intellectual Property

Your Content

You retain full ownership of the data you input into Grant Flow, including your organization profile, project descriptions, proposal content you write, and any documents you upload. By using the platform, you grant Grant Flow a limited, non-exclusive license to process and display your content solely for the purpose of delivering the services to you.

Grant Flow Platform

The Grant Flow platform, including its design, code, algorithms, branding, and documentation, is the exclusive intellectual property of Grant Flow and is protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, reverse engineer, or create derivative works of the platform without written permission.

AI-Generated Output

Proposal drafts, LOI drafts, and other AI-generated content produced using your data are provided to you for your use. Grant Flow does not claim ownership over content generated specifically from your organization's profile and inputs.

7. Third-Party Services

Grant Flow integrates with third-party services including the Anthropic Claude API and Grants.gov. Your use of these services through our platform is subject to their respective terms and policies. Grant Flow is not responsible for the availability, accuracy, or actions of third-party services.

Links to external websites or resources found within the platform are provided for convenience only. Grant Flow does not endorse and is not responsible for third-party content.

8. Disclaimer of Warranties

THE GRANT FLOW PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or usefulness of any grant data, AI-generated content, or match results provided through the platform.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRANT FLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF FUNDING, LOSS OF DATA, OR DAMAGE TO REPUTATION, EVEN IF GRANT FLOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL GRANT FLOW'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO GRANT FLOW IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Grant Flow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the platform; (b) your violation of these Terms; (c) content you submit through the platform; or (d) grant applications you submit to third parties using content generated or supported by Grant Flow.

11. Termination

Grant Flow may suspend or terminate your account at any time for violation of these Terms, non-payment, fraudulent activity, or any other reason at our discretion, with or without notice. Upon termination, your right to access the platform ceases immediately.

You may terminate your account at any time by contacting support or using the account deletion feature in your settings. Following termination, we will retain your data in accordance with our Privacy Policy and applicable legal obligations.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States and the state in which Grant Flow is incorporated, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the platform shall first be addressed through good-faith negotiation. If the parties cannot resolve the dispute within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration against Grant Flow.

13. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice within the platform at least 14 days before the changes take effect. Your continued use of Grant Flow after the effective date of updated Terms constitutes your acceptance of the revised Terms.
